Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of the RealVote application, website, software, features, content, and related services (collectively, the "App" or "Services"), owned and operated by RealVote, LLC ("RealVote," "we," "us," or "our").

By accessing, downloading, registering for, or using RealVote, and by clicking "I Agree" or any similar acceptance button, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use RealVote unless otherwise permitted by applicable law. By using the App, you represent that you have the legal capacity to enter into these Terms.

2. Account Registration

To access certain features, you may be required to create an account and provide accurate, current, and complete information, including your name, email address, phone number, and address. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.

You agree to:

• provide truthful registration information;
• keep your information up to date;
• protect your account credentials; and
• notify us immediately of any unauthorized access or suspected breach.

3. Use of the Services

RealVote grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the App solely for its intended personal, non-commercial purpose and in accordance with these Terms.

You may not use the App for any unlawful, fraudulent, harmful, or unauthorized purpose.

4. Ownership and Intellectual Property

The App and all of its components are and shall remain the exclusive property of RealVote, LLC and its licensors. This includes, without limitation:

• the RealVote name, logo, trademarks, and branding;
• the App's design, layout, structure, user interface, workflows, features, visual appearance, and look and feel;
• all software, source code, object code, architecture, functionality, and documentation;
• all text, graphics, icons, images, videos, audio, and content; and
• all improvements, modifications, enhancements, and derivative works related to the App.

All rights not expressly granted to you are reserved by RealVote, LLC.

5. Strict Prohibition on Copying, Replicating, or Rebuilding the App

You may not, and may not permit or assist any third party to:

• copy, reproduce, republish, mirror, frame, or duplicate the App or any part of it;
• recreate, imitate, clone, or replicate the App's functionality, workflows, user experience, screens, design, layout, or overall concept;
• reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive the source code, underlying ideas, structure, or organization of the App;
• modify, adapt, translate, or create derivative works based on the App;
• scrape, harvest, extract, or systematically collect data, content, screens, or materials from the App;
• use the App, or any part of it, to build, train, improve, benchmark, or support a competing product or service;
• remove, alter, or conceal copyright, trademark, proprietary, or other legal notices; or
• sell, rent, lease, sublicense, distribute, publish, or commercially exploit the App or any part of it.

Any unauthorized use of the App or its intellectual property is strictly prohibited and may result in immediate suspension or termination of access, legal action, and claims for damages and injunctive relief.

6. No Replication of Platform Concept

User acknowledges that the RealVote platform includes proprietary and valuable intellectual property embodied not only in its code and content, but also in its structure, workflow, user interaction model, constituent-engagement process, representative communication framework, polling format, administrative back-end logic, and overall product concept. User shall not copy, reproduce, emulate, adapt, commercialize, or exploit any materially similar platform, service, or application derived from or substantially based on RealVote, whether directly or indirectly.

7. Competitive Use Restriction

You may not use the App or any information obtained from it to develop, support, market, or operate any product, service, platform, or application that competes with RealVote or reproduces any material aspect of its design, concept, business method, features, or functionality.

8. Trademarks and Brand Protection

"RealVote," the RealVote logo, and all related names, logos, product names, slogans, trade dress, and service marks are the property of RealVote, LLC or its affiliates. You may not use them without our prior written consent.

9. User Content and Submissions

If you submit messages, attachments, feedback, suggestions, comments, or other materials through the App ("User Content"), you represent that:

• you own or control the rights necessary to submit that content;
• your content does not violate any law or third-party right; and
• your content is accurate and not misleading.

You grant RealVote a limited, non-exclusive, royalty-free license to host, store, process, transmit, and display User Content solely as necessary to operate, improve, secure, and provide the Services.

10. Acceptable Use

You agree not to:

• violate any law or regulation;
• impersonate any person or entity;
• interfere with the operation or security of the App;
• upload malware, viruses, or harmful code;
• attempt to bypass access restrictions or security features; or
• engage in abusive, harassing, defamatory, deceptive, or fraudulent conduct.

11. Privacy

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, store, and disclose information. By using the App, you acknowledge that you have reviewed the Privacy Policy.

12. Service Changes and Availability

We may modify, suspend, discontinue, or update any part of the App at any time, with or without notice. We do not guarantee that the App will always be available, uninterrupted, secure, or error-free.

13. Termination

We may suspend or terminate your access to the App at any time, with or without notice, if we believe you have violated these Terms, misused the Services, infringed intellectual property rights, or created risk or liability for RealVote or others. Upon termination, the license granted to you under these Terms ends immediately.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REALVOTE, LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, CONTRACTORS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP.

16. Indemnification

You agree to defend, indemnify, and hold harmless RealVote, LLC and its affiliates, officers, directors, members, employees, contractors, and licensors from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the App, your violation of these Terms, or your infringement of any intellectual property or other rights.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to conflict of law principles.

18. Changes to These Terms

We may revise these Terms from time to time. If we do, we will update the effective date. Your continued use of the App after updated Terms become effective constitutes your acceptance of the revised Terms.
